Content Creator Agreement

CONTENT CREATOR AGREEMENT & LIABILITY POLICY

1. Ownership of Content
By participating in this collaboration, the Content Creator (“Creator”) agrees that all video, photo, and digital content produced in connection with the brand (“Content”) is considered work made for hire. Upon creation and/or submission, the Brand shall retain full ownership, rights, and title to the Content, including all intellectual property rights.

The Brand reserves the right to use, reproduce, edit, modify, distribute, publish, and display the Content in any format or platform, including but not limited to social media, advertising, websites, and paid promotions, in perpetuity and worldwide.

2. Usage Rights by Creator
The Creator may use the Content for personal portfolio or self-promotion purposes only, unless otherwise agreed in writing. The Creator may not sell, license, or distribute the Content to third parties without prior written consent from the Brand.

3. Content Guidelines & Compliance
The Creator agrees to follow all content instructions, briefs, guidelines, and requirements provided by the Brand, including but not limited to messaging, format, talking points, branding, deadlines, and platform-specific requirements.

Failure to adhere to these instructions may result in:

  • Request for revisions
  • Rejection of Content
  • Withholding of compensation (if applicable)
  • Termination of the collaboration

The Brand reserves the right to request edits or revisions to ensure alignment with brand standards.

4. Creator Responsibility & Representations
The Creator represents and warrants that:

  • All Content is original and does not infringe upon any third-party rights
  • Any music, images, or materials used are properly licensed or royalty-free
  • All individuals appearing in the Content have given proper consent (if applicable)

The Creator assumes full responsibility for ensuring compliance with applicable laws, including advertising disclosure guidelines (e.g., FTC guidelines).

5. Liability Waiver & Indemnification
The Creator agrees to release, defend, and hold harmless the Brand, its owners, employees, and affiliates from any and all claims, damages, liabilities, costs, or expenses arising from:

  • The creation or use of the Content
  • Any breach of this agreement
  • Any third-party claims related to intellectual property, likeness rights, or misuse of materials

The Brand shall not be held liable for any injury, loss, or damages incurred during the creation of the Content.

6. No Employment Relationship
This agreement does not create any employment, partnership, or joint venture relationship. The Creator is acting as an independent contractor.

7. Compensation (if applicable)
Any compensation, product exchange, or commission structure will be outlined separately in writing. Content ownership is not contingent upon payment unless explicitly stated.

8. Term & Termination
The Brand reserves the right to terminate the partnership at any time. Upon termination, the Brand retains all rights to previously submitted Content.

9. Governing Law
This agreement shall be governed by and interpreted in accordance with the laws of the state in which the Brand operates.

10. Entire Agreement
This document constitutes the entire agreement between the Creator and the Brand and supersedes any prior agreements or discussions.

By submitting content, the Creator acknowledges and agrees to the terms outlined above.
